Corporate Governance

Although the Corporate Counsel Association operates as a non-profit organisation, it is managed with the discipline and structure of a well-run business. The organisation is governed by a Memorandum of Incorporation (MoI), along with a suite of supporting governance documents.

The Corporate Counsel Association is firmly committed to sound corporate governance principles, which are embedded in its daily operations. The organisation places consistent emphasis on the following key areas:

  • Fulfilment of its mandate as outlined in the MoI

  • Economic sustainability

  • Transformation and inclusivity

  • Promotion of ethical conduct and high standards among members

  • Professional development, including the recognition of prior learning

  • Ongoing Continuous Professional Development (CPD)

  • Organisational growth and operational effectiveness

  • Adaptability and responsiveness to change

  • Strong governance practices

  • Awareness of and responsiveness to political and regulatory impacts

 

MANAGEMENT

The Corporate Counsel Association is managed by a CEO under the direction of a properly constituted Board in accordance with an MoI. The Board is annually elected by Corporate Counsel members and is composed of a number of independent members who have offered their services on a voluntary basis, who are in good standing with the Corporate Counsel Association and who are employed by companies as Corporate Counsel in South Africa. The current CEO is Alison Lee who is consulted on a part-time basis to manage the Corporate Counsel Association - a position which she has held since 2004.

Management is responsible to:

  • Set goals / strategies;

  • Identify staffing responsibilities and needs (Full-time, part-time, contractors);

  • Manage the business.

 

The Corporate Counsel Association’s Board operates under a number of guiding principles and values in order to advance the Corporate Counsel Association as an organisation. These are:  

  • Continuous improvement of services to Corporate Counsel members; 

  • Responsible management; 

  • Financial viability; 

  • Ethical behaviour; and 

  • A strong and growing membership base.

 

These objectives are reflected in the structure of the Board Charter and Terms of Reference for the Board Of Directors. These guidelines set out the authority, responsibilities, membership and operation of the members of the Board of the Corporate Counsel Association. It is to be read in conjunction with the organisation’s MoI and its other constituent documents.
